Acceptance
These terms govern your use of carnival12.com (the "site") and, together with any separate written agreement, your engagement of Carnival 12 Ai LLC ("Carnival 12 Ai", "we", "us"). By using the site you agree to these terms. If you do not agree, please do not use the site.
Our services
Carnival 12 Ai designs, builds and operates software, AI, private AI and robotics systems, real-time 3D and game development, and provides consulting, subcontracting, training and managed operations. The demonstrations on this site are simulations of the kinds of systems we build; the businesses shown in them are fictional.
Engagements and written agreements
Specific work is governed by a separate written agreement (for example a proposal, statement of work or master services agreement) signed by both parties. Where those terms differ from these, the signed agreement controls for that work.
Fees, refunds and cancellation
Fees, payment schedules, deposits, refunds and cancellation are set out in the written agreement for each engagement. Unless that agreement says otherwise, fees are due as invoiced, work already performed is payable, and deposits reserve time and may be non-refundable. Payments are processed by Stripe.
Intellectual property
We deliver client work on a work-made-for-hire basis. On full payment for an engagement, the deliverables created for the client under that engagement belong to the client. We retain ownership of our own pre-existing materials, tools, libraries, frameworks and general know-how, and we grant the client the licence to those needed to use the deliverables. The content, design and code of this website itself remain the property of Carnival 12 Ai. Trademarks and brand names shown on this site belong to their respective owners.
Confidentiality
We treat client information as confidential and do not name clients without permission. Each party protects the other's confidential information as set out in the applicable agreement.
Acceptable use of this site
Please do not misuse the site: no attempts to break, overload, probe or gain unauthorized access to it or its systems, no scraping for competing commercial use, and nothing unlawful. Security researchers should follow our security policy.
Warranties and disclaimers
The site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. Services we perform under a written agreement carry only the warranties stated in that agreement.
Limitation of liability
To the fullest extent permitted by law, Carnival 12 Ai LLC is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of this site. Our liability arising from an engagement is governed by, and limited as set out in, the written agreement for that engagement.
Governing law
These terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules, and the state and federal courts located in Clark County, Nevada have exclusive jurisdiction, except where a signed agreement specifies otherwise.
Changes
We may update these terms from time to time. The date at the top shows when they were last changed, and continued use of the site after a change means you accept the updated terms.
